1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the CoveAuto AI website, web application, and related services made available through https://coveauto.ai/ and related pages (collectively, the "Service").
By accessing or using the Service, creating an account, or connecting a third-party account such as Google, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.
2. About the Service
CoveAuto AI provides software tools designed to help users create, analyze, improve, and manage advertising and landing-page related workflows. Depending on the features you use, the Service may provide AI-assisted content generation, campaign analysis, landing page analysis, optimization recommendations, workflow automation, reporting, and integrations with third-party platforms such as Google Ads.
We may add, remove, or modify features from time to time.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.
If you use the Service on behalf of a company, organization, or client, you represent and warrant that you are authorized to bind that entity to these Terms.
4. Accounts and Credentials
You may need to create an account to use certain features of the Service. You agree to provide accurate, current, and complete information and to keep that information updated.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activities that occur under your account; and
- notifying us promptly if you believe your account or credentials have been lost, misused, or compromised.
We may suspend or restrict access to your account if we reasonably believe there has been unauthorized activity, a security issue, or a violation of these Terms.
5. Google Accounts and Google Ads Integration
Some features of the Service allow you to connect your Google account and authorize access to Google Ads data through Google OAuth and the Google Ads API.
By connecting a Google account, you authorize CoveAuto AI to access and process the Google Ads account data that is necessary to provide the features you request. Depending on the feature used and the permissions you grant, this may include account information, campaign structure, ad groups, ads, assets, keywords, budgets, search terms, landing page URLs, and performance or reporting data made available through the Google Ads API.
You represent and warrant that:
- you have the right and authority to connect each Google account and Google Ads account you authorize through the Service;
- you will use the Service in compliance with applicable law, Google terms, and Google Ads policies; and
- the data you make available to the Service does not violate the rights of any third party.
If you revoke OAuth permissions, disconnect your account, or your Google authorization expires, some Service features may no longer function.
6. User Content and Inputs
You may provide prompts, campaign data, landing page content, files, configuration data, and other materials to the Service ("Inputs"). The Service may return generated text, recommendations, summaries, analyses, or other results ("Outputs").
You retain ownership of your Inputs, subject to any rights needed for us to operate the Service. You grant us a non-exclusive, worldwide, limited license to host, copy, process, transmit, and use your Inputs solely to:
- provide, maintain, secure, and improve the Service;
- perform the workflows and analyses you request;
- generate Outputs;
- provide support; and
- comply with legal obligations.
You are responsible for reviewing Outputs before relying on or publishing them. AI-generated content may contain errors, omissions, or outdated information.
7. Acceptable Use
You agree not to:
- use the Service in violation of any applicable law, regulation, or third-party right;
- access or use data, accounts, or systems without authorization;
- interfere with or disrupt the Service or its infrastructure;
- reverse engineer, probe, scan, or attempt to gain unauthorized access to the Service;
- use the Service to transmit malware, spam, deceptive content, or unlawful content;
- use the Service to infringe intellectual property, privacy, publicity, or contractual rights;
- misrepresent your identity, affiliation, or authorization to act for another person or entity; or
- use the Service in a way that could cause harm to us, other users, third-party platforms, or the public.
8. Third-Party Services
The Service may depend on or interoperate with third-party services, including Google services. We do not control and are not responsible for third-party services, their availability, or their terms and privacy practices.
Your use of third-party services remains subject to the terms and policies of those third parties.
9. Intellectual Property
The Service, including its software, interface, branding, text, graphics, design, and other content provided by CoveAuto AI, is owned by or licensed to CoveAuto AI and is protected by applicable intellectual property and proprietary rights laws.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service.
10. Feedback
If you provide suggestions, ideas, or feedback regarding the Service, you grant CoveAuto AI a non-exclusive, perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation to you.
11. Service Availability and Changes
We may change, suspend, or discontinue all or part of the Service at any time, with or without notice. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.
We may release updates, patches, or new versions that modify functionality, interfaces, or workflows.
12. Suspension and Termination
We may suspend or terminate your access to the Service if:
- you violate these Terms;
- we are required to do so by law or by a third-party platform provider;
- your use creates security, legal, or operational risk; or
- your connected third-party authorization is revoked or becomes invalid.
You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitations of liability, governing law, and disputes.
13. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVEAUTO AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
We do not guarantee:
- any specific advertising, marketing, or business result;
- that Outputs will be accurate, complete, lawful, or fit for your intended use;
- that any third-party platform, including Google Ads, will continue to support the integration; or
- that the Service will operate without interruption or error.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVEAUTO AI AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF COVEAUTO AI FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO COVEAUTO AI FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- USD 100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless CoveAuto AI and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:
- your use of the Service;
- your Inputs or connected account data;
- your violation of these Terms; or
- your violation of any law or the rights of a third party.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service will be submitted to the courts with competent jurisdiction in Beijing, China, unless applicable law requires otherwise.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the updated version and revise the "Last Updated" date. Your continued use of the Service after the updated Terms become effective means you accept the revised Terms.
